Thanks to automation, the MCA has managed to make most of the tasks much simpler in the last few years and much quicker too. Before you get the certification of incorporation, here are two additional steps you need to complete.

· To get the certificate of incorporation, you need to identify a name for the start-up and also reserve the company name online. This is a simple process and there are some dos and don’ts that you need to follow. This approval must be sought electronically. You can check the availability of the desired company name on the MCA 21 web site and a maximum of 6 names can be submitted. Once approved, the selected name is blocked for you and appears on the website.

· The next step is to stamp the company documents, which includes the Memorandum of Association (MOA) and the Articles of Association (AOA). While the MOA is the constitution, the AOA lays out the activities that the business entity will indulge in. The request for stamping the incorporation documents should be accompanied by unsigned copies of the Memorandum and Articles of Association (MAA) as well as the online fee payment receipt. Once the Superintendent embosses and returns the appropriate copies, the MOA and AOA must be signed by the directors / promoters filling it up in their own handwriting.

· After that, you are ready to obtain the Certificate of Incorporation. For that, you need to file ”e-form 1; e-form 18; and e-form 32” electronically MCA website. In addition, scanned copies of the consent of the initial directors, and also of the signed and stamped form of the MAA must be attached to Form 1. One copy of the MAA, Articles of Association, Form 1, Form 32, Form 18 and the original name approval letter, consent of directors and stamped power of attorney must be submitted to the Registrar of Companies. The certificate of incorporation is sent automatically to the registered office of the company by registered mail. This certificate includes the Company Identification Number (CIN) which must be prominently displayed in all letterheads, offices and correspondence. Once this is done, you can make a seal of the company and issue share certificates.
