As of date, even after the warrant conversion, Radhika and Prannoy Roy are the largest shareholders with 32.3% stake in NDTV, while Adani only has 29.18%. It will boil down to the success of the open offer, which has been priced at Rs294 per share. However, the open offer price at Rs294 is currently 22% lower than the current market price and may not excite shareholders. However, that is due to the rally in the stock. Most likely, the Adani group would be pleased to even pay a higher price, so open offer success would not be an issue.

Let me talk about the synergy aspects in the deal. On the one hand, Adani gets a media property over and above Raghav Bahl’s Quintillion which had been earlier acquired by Adani group. Adani can now combine television property and digital property to create an unbeatable combination. NDTV gets a bigger and stronger balance sheet, which is what most of the media companies are struggling for today. Indian media is gravitating towards big business houses and NDTV is continuation of the trend.
